HR Policy: US Employee Referral Program – last updated March 2025

This Program supersedes all other referral programs previously in effect at Innova Solutions, its predecessors, and its affiliates as of April 14,2025.

Policy Details:

  1.  Program Eligibility
          a.   Qualified Ambassadors (who may make a qualified referral)
                           i.    US-based non-billable employees of Innova Solutions, Volt and HireGenics
                          ii.    Current and former W2 and 1099-based consultants of Innova Solutions, Volt and HireGenics
                         iii.    Outside professionals
           b.   Unqualified Ambassadors (who may not make a qualified referral)
                          i.    C2C Vendors or referral vendors of Innova Solutions and its affiliates
                         ii.    Current Sales, Recruiting and CSM employees of Innova Solutions, Volt and HireGenics
                        iii.    Current Manager-level and above employees of Innova Solutions, Volt and HireGenics

  2.  Referral Submission Process & Requirements
            a.   Eligible Candidates & Roles
                          i.    US based Billable Consultant roles (W2,  1099, and direct hire) with Innova Solutions and its affiliates
                                        1.   Referral candidate must not have applied to position with Innova Solutions and its affiliates in the past 90 days
                                               from submission date
                                        2.   Referral candidate must not have had existing referral to Innova Solutions and its affiliates in past 90 days
                                               from submission date
                                        3.   Referral candidate must not have had 2-way communication with Innova Solutions and its affiliates documented
                                               in past 90 days from submission date
                         ii.    US-based non-billable W2 roles with Innova Solutions, Volt and HireGenics
                                        1.   Referral candidate must not have applied to any position with Innova Solutions, Volt and HireGenics in the past 90 days
                                              from submission date
                                        2.   Referral candidate must not have had existing referral to Innova Solutions, Volt and HireGenics in the past 90 days from
                                              submission date
                                        3.  Referral must not have had 2-way communication with Innova Solutions, Volt and HireGenics documented in the ATS in
                                              past 90 days from submission date
           b.   Submission Requirements
                           i.   Required for all roles – Candidate Name, Contact Information & Resume
           c.    Submission Process
                           i.   Billable Consultant Roles
                                         1.    Visit the Innova Talent Portal to browse current openings and make either a job-specific referral or general talent referral
                                         2.    Current Employees MUST use their Innova Solutions, Volt or HireGenics email address to submit referrals
                          ii.   Non-billable Roles
                                         1.    Email Referral to corporatereferrals@innovasolutions.com
                                         2.    Current Employees MUST use their Innova Solutions, Volt or HireGenics email address to submit referrals

  3.  Referral Rewards & Payment
          a.     Reward Eligibility
                           i.   Candidate must be employed by Innova Solutions or its affiliates for 500 approved worked hours (salaried employees will be 
                                credited with 8 hours per day or 40 per week)
          b.     Reward Amount
                           i.   Billable Consultant Roles
                                          1.     The reward amount is based on a per job basis.
                          ii.   Non-billable Roles
                                         1.      If Ambassador is current W2 employee:               $500.00 per successful referral
                                         2.      If Ambassador is not current W2 employee:       $250.00 per successful referral
          c.      Reward Payment & Timing
                           i.    If Ambassador is current W2 employee/consultant, reward is paid as taxable income through payroll
                          ii.    If Ambassador is not a current W2 employee/consultant, reward is paid as 1099 income
                         iii.    After the candidate completes 500 approved worked hours (salaried employees will be credited with 8 hours per day 
                                 or 40 per week) of employment, payout amount will be processed and paid within 30 days
          d.      Reward Disqualifying Situations
                           i.    Ambassador is not eligible to make qualified referrals
                          ii.    Candidate does not complete 500 approved worked hours (salaried employees will be credited with 8 hours per day 
                                or 40 per week) of consecutive employment
                         iii.    Candidate does not meet the minimum qualifications for position
                         iv.    Candidate is referred to an ineligible position

  4.  Additional Program Provisions
          a.       Program Changes
                           i.     Innova Solutions, Inc. reserves the right to amend, modify, or terminate Innova’s Referral Program at any time,
                                  with or without notice
                          ii.     In the event of a program termination, any Referrals already submitted will be honored according to the program
                                  terms in effect at the time of submission
          b.      Confidentiality and Ethics
                           i.     Qualified Ambassadors must maintain confidentiality regarding the referral process and not share information
                                  about other candidates or the status of the hiring process.
                          ii.     Referrals should be made in good faith. Any attempt to manipulate the program or refer candidates solely for personal
                                  gain will result in disqualification from the program
          c.       Dispute Resolution
                           i.     Any disputes or issues arising from Innova’s Referral Program will be resolved by Human Resources, and that decision
                                  will be final and binding
          d.      Acceptance of Terms
                           i.     By participating in Innova’s Referral Program, Qualified Ambassadors agrees to adhere to these terms and conditions

Innova Solutions and its affiliates reserves the right to amend the terms and conditions of this program over time. Any changes to the program will be
communicated clearly and timely to qualified ambassadors currently employed with the company.
